Novations · By Travis DeLoach

What is a novation in real estate, and could it help you sell?

A novation sits between a fast cash sale and a traditional listing. It can help sellers who want more than a cash offer but can't afford to fix up the house first.

Novation meaning, in plain English

In law, a novation replaces one contract with a new one, with everyone's agreement. In real estate, a novation agreement usually works like this: you agree to a price with an investor, the investor improves and markets the home, and when a retail buyer is found, a new contract is signed directly between you and that buyer.

You stay the owner until closing. The investor earns the difference between your agreed price and the final sale price, after costs.

How a novation works, step by step

  • You and the investor agree on the price you'll receive and a timeline.
  • The investor may pay for repairs, cleaning or staging to raise the home's value.
  • The home is listed and marketed to regular buyers, often on the MLS.
  • A buyer makes an offer; you sign a new purchase contract with that buyer.
  • At closing you receive your agreed amount, and the investor is paid from the rest.

Who a novation can help

Novations tend to fit sellers with equity and a home that needs some work, but not so much that only a cash buyer makes sense.

  • Owners who want more than a cash offer
  • Sellers who can't pay for repairs or updates up front
  • Heirs selling an inherited house
  • Landlords with a dated rental
  • Homeowners with some time, usually a few months

Novation vs. cash sale vs. listing

A cash sale is fastest but usually nets the least. A traditional listing can net the most but you pay for repairs and prep. A novation aims for the middle: a higher price than cash, with someone else fronting the work. It takes longer than cash, because it depends on a retail buyer.

Risks and what to ask

Novations aren't regulated as their own product, so the agreement matters.

  • Who pays for repairs if the home doesn't sell?
  • How long does the agreement last, and how do you get out of it?
  • Is your agreed price guaranteed, or a minimum?
  • Is the person marketing your home licensed? In Mississippi, marketing someone else's property for a fee generally requires a real estate license.
  • Have a real estate attorney review the agreement.

Why a licensed agent-investor fits a novation

Because Travis is a licensed Mississippi agent and an investor, he can put the home on the MLS, explain the agreement in writing, and disclose his role up front. He can also show you the cash and listing numbers side by side, so you know a novation is actually the better option for you.

Frequently asked questions

What is a novation in real estate?+

It's an agreement where an investor improves and markets your home, and a new contract is signed between you and the final buyer. You get an agreed price, and the investor keeps the difference after costs.

Is a novation better than a cash offer?+

It can pay you more, because the home sells to a retail buyer. It takes longer and depends on finding that buyer, so it fits sellers who have some time.

Do I pay for repairs in a novation?+

Usually the investor pays for agreed repairs. Make sure the agreement says who pays if the home doesn't sell.

Who owns the house during a novation?+

You do, until closing. That's why the agreement should be clear about access, insurance and utilities while work is done.

How long does a novation take?+

It often takes a few months, since repairs and a retail sale are involved. Ask for a timeline and an exit clause in writing.

Is a novation legal in Mississippi?+

Novation agreements are used in Mississippi, but marketing someone else's home for a fee generally requires a license. Work with a licensed agent and have an attorney review the contract.
